Our client, a Global Fortune 50 organization and one of world’s largest distributors of Healthcare systems, Medical supplies & Pharmaceutical products, seeks an accomplished Legal Support Specialist – Contract Review (Divestiture Support).

About the Role:

  • We are seeking a detail-oriented and reliable temporary legal support resource to assist with a strategic business divestiture. This role will focus on supporting contract review and related tasks as part of a broader, large-scale contract divestiture and assignment effort.
  • Support a large business divestiture project by reviewing and summarizing commercial contracts. Work closely with legal and business teams to prepare for the spin-off of a new business unit.

Job Responsibilities:

  • Review a wide range of complex commercial contracts to identify key terms relevant to a divestiture, including assignment rights, change of control provisions, and notice obligations.
  • Summarize findings and input key data points into a tracking chart or database.
  • Flag agreements that may require further legal or business escalation.
  • Support the execution phase by helping to coordinate Day 1 readiness, which may include assisting with agreement execution, contract assignment, vendor outreach, and sending formal notices.
  • Collaborate closely with legal counsel, sourcing and procurement, and business stakeholders as needed.

Required Skills:

  • Prior hands-on experience reviewing and summarizing complex, enterprise-wide commercial agreements (e.g., vendor contracts/MSAs, amendments and SOWs).
  • Familiarity with contract concepts such as assignment, change of control, and notice requirements.
  • Excellent attention to detail and organizational skills.
  • Ability to work independently, manage multiple priorities that may be competing priorities, and meet deadlines.
  • JD or paralegal certification preferred but not required.
